Recommendation
Staff recommends the Mayor and Council authorize the City Manager to execute both the Reimbursement Agreement and the Letter of No Objection from Williams Gas associated with the construction of the Senior Center Entrance Project.
Discussion
The city is constructing a new entrance to the Rockville Senior Center from West Gude Drive at the intersection with Piccard Drive. Between the new entrance driveway on West Gude Drive and the existing parking lot for the Senior Center, there is a 75-foot-wide Williams Gas easement, where Williams Gas maintains and operates a 42” underground gas pipeline. Because the driveway and its associated construction will cross the Williams Gas easement, review of the design and coordination of construction operations with Williams Gas is required.
After their review of the final construction plans for the Senior Center Entrance, Williams Gas has granted approval for construction, subject to the construction following the standards and specifications of the 2020 Williams Gas Developer handbook, and with the city’s concurrence and execution of both a Reimbursement Agreement and a Letter of No Objection.
The Letter of No Objection (Attachment A) grants the city the permission to “construct or conduct” the Senior Center Entrance Project “over or under” the Williams Facility in consideration of 10 conditions. The letter, issued on June 4, 2026, has been reviewed by the City Attorney’s office and the City’s Risk Management team and was signed by Williams Gas.
Williams Gas requires their personnel to be on site during construction operations within their easement area to safeguard their facilities at the cost of the city. To compensate Williams Gas, a reimbursement agreement (Attachment B) with the amount of $25,455.00 has been developed between the City and Williams Gas for their cost to perform necessary and appropriate field inspection during the construction of the Senior Center Entrance project. This amount of $25,455.00 includes the estimated cost of Williams employees’ wages, benefits, expenses, and overhead.

Fiscal Impact

Next Steps
After the City Manager has signed both documents, staff will forward the signed document to Williams Gas and then coordinate further during the construction of the project.
